Agreement to Terms

Future Primitive Accounting provides bookkeeping, tax preparation, tax strategy, and financial consulting services for small businesses and entrepreneurs. The specific scope of services will be outlined in a separate engagement letter or service agreement.
Client Responsibilities
As a client, you agree to:

- Respond promptly to our requests for documents and information
- Review all work product and notify us of any errors or concerns
- Pay for services in accordance with the agreed-upon terms
- Maintain the confidentiality of any login credentials we provide

- Maintain confidentiality of your business and financial information
- Communicate proactively about deadlines and important matters
- Comply with applicable professional standards and regulations
Fees and Payment
Our fees are based on the scope and complexity of services provided. We offer flat monthly pricing for ongoing services. Specific fees will be outlined in your engagement letter. Payment terms are typically net 30 days unless otherwise agreed.
Limitation of Liability
To the fullest extent permitted by law, Future Primitive Accounting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.
Confidentiality
We will maintain the confidentiality of all information you provide to us, except as required by law or with your express permission. We will not disclose your information to third parties without your consent, except as necessary to perform our services or as required by regulatory authorities.
Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of Future Primitive Accounting and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
Termination
Either party may terminate the service relationship with written notice. Upon termination, you remain responsible for any fees for services already rendered. We will provide reasonable assistance in transitioning your records to another provider.
Dispute Resolution
Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these terms at any time. We will provide notice of material changes. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
